Terms of service

Effective October 27, 2026

These terms are an agreement between you and Synnax Labs, Inc., a Delaware corporation ("Synnax Labs", "we", "us"). They apply to:

  • The Synnax portal at portal.synnaxlabs.com.
  • Synnax Desktop, and the license keys that we issue for it.
  • Our websites.

In these terms, these are the "services". To make an account, you must agree to these terms. If you do not agree, do not use the services.

If you use the services for an organization, you agree to these terms for that organization, and you confirm that you have the authority to do so. "You" then also means that organization.

Synnax Enterprise licenses come with a separate written agreement. If that agreement and these terms are different, that agreement applies.

1. Accounts

  • You must be 18 years old or older to make an account.
  • Give true and complete information, and keep it current.
  • Keep your password and login methods safe. You are responsible for all activity on your account. Tell us immediately if a person uses your account without your permission.
  • The admin of an organization controls who is a member. An admin can remove members and their access to the licenses of the organization.

2. Synnax Desktop

Synnax Desktop is a free desktop app. It contains a Synnax Core and a Synnax Driver. You can use Synnax Desktop for any purpose, including commercial use and production use.

  • The Business Source License 1.1 in the Synnax repository (the "BSL") gives you your rights in the Synnax software. These terms do not limit those rights. If these terms and the BSL are different about your rights in the software, the BSL applies.
  • Synnax Desktop needs a license key to operate. You get a license key when you log in from Synnax Desktop. While you obey these terms, we give you a non-exclusive, non-transferable right to use each license key that we issue to you.
  • A license key is for one computer. It operates only in Synnax Desktop.
  • The Synnax Core and Synnax Driver in Synnax Desktop are licensed only as part of Synnax Desktop. Do not use a Synnax Desktop license key to operate a Synnax Core outside Synnax Desktop. To use a Synnax Core outside Synnax Desktop in production, you need a Synnax Enterprise license.
  • A license key is valid for a short term. Synnax Desktop renews it over the internet while you are logged in. The documentation gives the current term and grace period. If Synnax Desktop cannot renew a license key before the term and the grace period end, it does not operate after its next start until it renews the key.
  • We can stop issuing or renewing free license keys. If we do, we tell account holders by email at least 60 days before, unless the law or a security problem makes us act sooner. This does not change your rights under the BSL.

3. Your data

  • You own the data that you record with Synnax Desktop. It stays on your computer. We do not receive it.
  • Synnax Desktop can send us usage data. The privacy policy tells what information we collect and how we use it.
  • Without a valid license key, Synnax Desktop cannot open your data. Export the data that you need before you close your account.
  • You are responsible for backups of your data.

4. Safety

Synnax Desktop can control hardware. It is not a safety system.

  • Synnax Desktop is not designed, tested, or certified to do a safety function. A safety function keeps people, property, or the environment safe when other controls fail.
  • Do not use Synnax Desktop for a safety function. Do not use it as the only protection against injury, death, or damage to property or the environment.
  • Use independent safety controls that operate when Synnax Desktop stops, such as hardware interlocks, relief valves, and emergency stop circuits.
  • Synnax Desktop can stop, pause, or lose its connection to hardware at any time. For example, its Synnax Core and Synnax Driver stop when Synnax Desktop closes or installs an update, and they can pause when the computer sleeps.
  • You are responsible for your hardware and its configuration, your control sequences, programs, and alarms, and the safety of your tests and people.
  • Test each configuration before you use it near people, or with hazardous energy or materials.

5. Updates and changes

  • Synnax Desktop checks for updates. When you select an update, it downloads and installs it, and restarts. Do not install an update during a test.
  • An update can add, change, or remove features.
  • An update can change the format of your stored data. An earlier version of Synnax Desktop can fail to open data that a later version changed.
  • We can add, change, or remove features of the services.
  • Some features are marked beta, preview, or experimental. They can have more errors than other features. We can change or remove them at any time.

6. Acceptable use

Do not:

  • Break the law, or help another person break it, with the services or Synnax Desktop.
  • Share, sell, or change license keys. Do not use a license key that we did not issue to you.
  • Get around a license check, a seat limit, or a usage limit in the services or in software that we distribute. This rule does not limit what the BSL lets you do with the source code.
  • Get access to accounts, organizations, or systems that you do not have permission to use.
  • Send malware, overload the services, or interfere with how they operate or how other people use them.
  • Scan or test the security of the services without our written permission. To report a security problem, email info@synnaxlabs.com.

7. Open source and other parties

  • Synnax Desktop contains open source components from other parties. Their licenses apply to those components. These terms do not limit your rights under those licenses.
  • The services and Synnax Desktop can connect to hardware, software, and services from other parties. Their terms apply to them. We are not responsible for them.

8. Feedback

If you send us ideas or feedback, we can use them for any purpose. We do not have to pay you or give you credit. You do not have to send feedback.

9. Export control and sanctions

The services and Synnax Desktop are subject to the export control and sanctions laws of the United States and other countries. Obey these laws. Do not use, export, or give access to the services or Synnax Desktop:

  • In a country or region that is subject to comprehensive United States sanctions.
  • For a person on a United States restricted party list, such as the Specially Designated Nationals List or the Entity List.
  • For an end use that these laws prohibit.

You confirm that you are not in such a country or region, that you are not on such a list, and that no person on such a list owns or controls you.

10. Termination

  • You can stop using the services at any time. To close your account, email privacy@synnaxlabs.com.
  • We can suspend or close your account, or revoke a license key, if you break these terms, if the law requires it, or to protect the services or other people. When we can, we tell you before we do this.
  • When your account closes, we revoke your Synnax Desktop license keys. Your data stays on your computer, but without a license key, Synnax Desktop cannot open it.
  • Sections 3, 4, 8, 9, and 11 through 17 continue to apply after your account closes.

11. Disclaimers

WE GIVE THE SERVICES AND SYNNAX DESKTOP "AS IS" AND "AS AVAILABLE", WITH NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES OR SYNNAX DESKTOP WILL OPERATE WITHOUT ERRORS OR INTERRUPTIONS, OR THAT THEY WILL NOT LOSE DATA.

12. Limitation of liability

TO THE MAXIMUM EXTENT THE LAW PERMITS, SYNNAX LABS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICES, SYNNAX DESKTOP, OR THESE TERMS IS LIMITED TO THE GREATER OF US$100 AND THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT THAT CAUSED THE CLAIM. THESE LIMITS APPLY TO ALL LEGAL THEORIES, INCLUDING CONTRACT, TORT, NEGLIGENCE, AND STRICT LIABILITY. THEY APPLY EVEN IF WE KNEW THAT THE DAMAGE WAS POSSIBLE.

Nothing in these terms limits or excludes our liability for:

  • Death or personal injury that our negligence causes.
  • Fraud or fraudulent misrepresentation.
  • Damage that we cause on purpose or by gross negligence, where the law does not let us limit it.
  • Liability under product liability laws.
  • Any other liability that the law does not let us limit or exclude.

13. Indemnity

This section applies only if you use the services or Synnax Desktop for an organization. It does not apply to consumers. You will defend Synnax Labs against claims by third parties that come from:

  • Your hardware, tests, processes, or products.
  • Your data.
  • Your breach of these terms or of the law.

You will pay the damages, costs, and reasonable legal fees that a court awards against us for these claims, or that you agree to pay in a settlement. We tell you promptly about the claim, and we help you at your cost. You cannot settle a claim in a way that makes us admit fault or pay money, unless we agree in writing.

14. Your rights as a consumer

A consumer is a person who uses the services for purposes that are mainly outside their trade, business, or profession. If you are a consumer, the law of the country where you live can give you rights that these terms cannot change. These terms do not limit those rights.

If you are a consumer who lives in the EU, the EEA, the UK, or Switzerland:

  • The mandatory consumer protection laws of your country apply to you.
  • You can bring a claim in the courts of the country where you live.
  • Sections 11 and 12 apply only as far as the law of your country permits.

15. Governing law and disputes

  • The laws of the State of Colorado, United States, apply to these terms, and to any dispute about these terms, the services, or Synnax Desktop. The conflict of laws rules of Colorado do not apply.
  • Only the state courts in Jefferson County, Colorado, and the United States District Court for the District of Colorado can decide these disputes. You and we agree to the personal jurisdiction of these courts.
  • Either party can ask any court with jurisdiction for an injunction to protect its intellectual property or confidential information.
  • Section 14 gives other rights to consumers in the EU, the EEA, the UK, and Switzerland.

16. Changes to these terms

  • We change these terms only for a valid reason, such as a change in the law, in the services, or in how we operate. When we change them, we change the effective date at the top.
  • If a change is important, we tell account holders by email at least 30 days before it applies. We can also ask you to agree to the new terms when you log in.
  • If you do not agree to a change, stop using the services and close your account before the change applies. If you continue to use the services after a change applies, you agree to it.
  • A change does not apply to a dispute that started before the change.
  • We can make a change sooner if the law or a security problem requires it.

17. General

  • Entire agreement: these terms, the privacy policy, and the BSL are the full agreement between you and us about the services and Synnax Desktop. A Synnax Enterprise agreement applies as the start of these terms tells.
  • Severability: if a court finds part of these terms invalid, the rest stays in effect.
  • No waiver: if we do not enforce a part of these terms, we can still enforce it later.
  • Assignment: you cannot transfer these terms without our written permission. We can transfer these terms to an affiliate, or to a company that gets our business or the services in a merger, an acquisition, or a sale of assets.
  • Notices: we send notices to the email address of your account. Send legal notices to info@synnaxlabs.com, or by mail to the address in section 18.
  • United States government users: Synnax Desktop is "commercial computer software", and its documentation is "commercial computer software documentation". Government users get only the rights in these terms and the BSL.
